To maintain DHC’s standard of excellence in the products distributed in accordance with our mission and core values, DHC requires that resellers and distributors of DHC Products be members of the DHC Reseller Network Program (hereinafter “Reseller”) and adhere to this Quality Policy and the guidelines set forth below.
Reseller shall maintain:
- the quality of the Products sold by Reseller by following all storage and/or display instructions provided by DHC. In all cases, the Reseller shall avoid storing products in direct sunlight or near sources of heat and choose dry, cool storage areas. Products are to be stored within the following temperature and humidity guideline:
Temperature Range: 60-90 Degrees Fahrenheit
Humidity Range: 20%-65% - the Reseller’s Retail Outlets and Websites in a professional, neat, and attractive manner in accordance with DHC’s Brand guidelines; and
- the display of the Products, both online and offline, in accordance with the style and usage guides provided by DHC to Reseller.
Reseller shall respond promptly to all inquiries from customers (within 24 hours) and shall, or in cooperation with DHC, resolve all complaints in a timely matter in a customer supportive method to maintain DHC’s exemplary customer service reputation and foster high customer satisfaction.
Reseller will act with the highest standards of business ethics, honesty, and integrity so that the reputation and goodwill of DHC will not be adversely affected by any acts or omissions of Reseller.
Reseller shall have a return policy that allows unsatisfied final customers to return products within a reasonable return period, but in no case less than 14-days, for an exchange or a refund of the purchase price. Reseller’s return policies should follow the philosophy of “No hassle, No obligation.” Reseller is not responsible for accepting returns for purchases made with third-parties.
Reseller should deliver products to the final customer with not less than 6 months shelf life remaining at the time of delivery and shall not sell products that have less than 3 months shelf life remaining.
Reseller acknowledges that not all Products are compliant for resale in every territory and agrees to sell the Products only in the territories for which they are compliant and intended, as designated by DHC, and updated from time to time.
Reseller shall not dilute, adulterate, repackage, or in any manner alter the contents of the Products or their packaging, containers, labels, or markings, except for the sole purpose of complying with Reseller's obligations.
Reseller shall not sell or ship the Products outside of the USA.
DHC hereby grants Reseller a non-exclusive, non-transferable, non-sublicensable, royalty free right and license to use the DHC trademarks but only to the extent necessary and in connection with the promotion and sale of the Products and the performance of Reseller’s obligations under these Terms during the term of these Terms. Reseller agrees that all uses and references by Reseller to the DHC trademarks and Products shall be of a high-quality standard in order to maintain the goodwill and reputation of DHC and DHC Japan and not confuse, mislead, or deceive the public. Reseller shall not use the DHC trademarks on any Products which, prior to resale, have been altered, modified, repackaged, or combined with products not supplied by DHC and shall not use the DHC trademarks in any way on or in connection with any goods or products other than the Products. Reseller shall acquire no right, title, or interest in or to any DHC trademark(s) other than the specific rights set forth herein. DHC may revoke this license at any time in the event that Reseller is not maintaining the quality standards in connection with Reseller’s use of the DHC trademarks pursuant to the license granted herein as determined by DHC in its unilateral sole discretion. Reseller shall not dispute or contest, directly or indirectly, DHC or DHC Japan’s sole and exclusive ownership of their respective intellectual property, including but not limited to trademarks.
DHC undertakes to deliver to Reseller Products in commercially reasonable condition fit for their intended purpose with a remaining shelf-life of not less than twelve (12) months from date of shipment to Reseller, unless otherwise mutually agreed to and stated on the Order Confirmation.
DHC may terminate Reseller's membership in the DHC Authorized Reseller Network Program upon thirty (30) days’ written notice to Reseller upon any of the following events: (i) Reseller no longer satisfies all of the Criteria; (ii) failure of Reseller to fulfill or perform its responsibilities under these Terms or material breach of any Reseller obligations under these Terms, which failure or breach is not cured to the satisfaction of DHC within thirty (30) days of notice; (ii) failure by Reseller to fulfill any of its payment obligations to DHC under any agreement between the parties; (iii) failure of Reseller for any reason to function in the ordinary course of business; (iv) Reseller, or a manager, partner, principal officer or major stockholder of Reseller, commits an act which in DHC’s sole discretion adversely affects the good name, goodwill or reputation of DHC or the Products; or (v) DHC’s agreement with DHC Japan is terminated for any reason. Either party may unilaterally terminate these Terms at any time without cause upon four (4) months written notice to the other party; provided that such termination will not affect any transaction entered into or rights created or obligations incurred before receipt of such notice. All such transactions, rights and obligations will be fully operative until finally disposed of, performed, concluded and/or liquidated.
DHC may update these guidelines from time to time and it is Reseller obligation to comply with the guidelines in force at the time of Reseller’s sale of any DHC Product. The current in force guidelines can be found on this page.
To become a member of DHC’s Authorized Reseller Network Program, please send an email to wholesale@dhccare.com for an application. DHC shall have the right in its sole unilateral discretion to approve or deny such application on such terms and conditions as DHC shall determine.
To be a member in the DHC Authorized Reseller Network Program, Resellers must meet the following criteria:
- Must be commonly known by the general public as at least one of the following: (1) spa, beauty salon, fitness center, hotel, hair salon, thalassotherapy center, pharmacy, or para-pharmacy; (2) hygiene product store specializing in the health and beauty category; (3) perfumery or luxury beauty store; (4) high-end, specialty, or upmarket food store having a section specializing in personal care and/or beauty, cosmetics, or fragrance category; (5) upmarket beauty/cosmetic e-tailer (B2C); (6) superstore; (7) premium online beauty retailer; or (8) high-end, luxury or upmarket department store.
- Each Reseller must carry a selection of skincare brands and may also offer a broad selection of color cosmetics and beauty accessories.
- Each Reseller outlet must have trained staff available to answer customer questions during standard business hours in person or via live chat.
- Each Reseller shall provide customer support by phone, chat & email for all e-commerce sales, pre and post purchase.
- Each of Reseller’s retail stores must have high-end or above average fixtures and provide for a pleasant shopping experience and must be maintained in a clean, neat, and orderly fashion.
- Since the DHC brand will be associated with the Reseller in the customer’s mind, the Reseller’s customer service must be best in class.
- Resellers must train staff with DHC’s official training materials updated from time to time and provide a level of customer service that results in consistently good customer reviews.
- Online sales shall only be conducted through Reseller websites that are obviously apparent to the customer under the same trademark and branding as Reseller. The website must clearly display the Reseller’s primary business address, together with an email address and a customer service telephone number with hours of operation. The website must be able to provide the same level of advice the customer could obtain in-store. The website must be professionally created and maintained with high quality graphic design, usability, and navigation features.
- Reseller must not advertise, promote, discount, display and/or sell the Products in a way which (i) is deemed incompatible with, or materially devalues the DHC brand, trademarks, or reputation; or (ii) undermines the integrity, value, or perceived quality of the Products.
- Reseller must have a Distribution Agreement in force with DHC.
